Reasons for the Change
The LLP structure is now the preferred corporate model for professional services firms, and we believe this structure provides a modern, transparent, and robust platform to support the firm’s future development.
From a practical perspective, this conversion will have minimal impact on our clients. The conversion does not affect:
- The continuity of the firm’s business
- Existing client relationships or matters
- The firm’s staff, management, or day-to-day operations
All existing contracts, engagement letters, and instructions with the former partnership will be transferred to Pothecary Witham Weld Solicitors LLP. References to the firm in existing documentation should be read as referring to Pothecary Witham Weld Solicitors LLP from the Transfer Date.
Legal Effect of the Conversion
With effect from 1 July 2026, Pothecary Witham Weld Solicitors LLP assumes all rights, obligations, and liabilities of Pothecary Witham Weld Solicitors (the Traditional Partnership). All salaried partners, solicitors, lawyers and support staff will be automatically transferred to the LLP and will continue to progress matters on which the Firm has been instructed. From the Transfer Date, the LLP assumes full responsibility for those matters.
Our Terms of Business will remain unchanged, save that they will apply to Pothecary Witham Weld Solicitors LLP in place of the Traditional Partnership from the Transfer Date.
Client Money
The conversion will not affect the terms on which client monies are held or the timing of any transactions.
How the Conversion Affects Our Clients
Our commitment to providing a high standard of service remains unchanged. There will be no alteration to the services you receive or the fees we charge. The same individuals will continue to act for you from the same office, using the same telephone numbers and email addresses.
There will be no material change to the operation or management of the firm. The most noticeable change will be to our registered name, SRA number and changes to our logo and branding on letterheads and website.
Any outstanding invoices as at the conversion date will automatically transfer to the LLP.
The conversion will affect the personal liability of partners. Whereas partners in the Traditional Partnership were personally liable for claims against the firm, members of the LLP are not personally liable for claims against the LLP. To address any potential risk arising from this change, the Solicitors Regulation Authority requires LLPs to maintain additional professional indemnity insurance. We confirm that this requirement has already been satisfied.
The Legal Services Act 2007
There will be no change to the statutory protections our clients enjoy by instructing a solicitors’ practice authorised under the Legal Services Act 2007. Pothecary Witham Weld Solicitors LLP will continue to be regulated by the Solicitors Regulation Authority. Our complaints handling procedure remains unchanged, and the Legal Ombudsman will continue to be the appropriate body for the escalation of any complaint we are unable to resolve satisfactorily.
Documents and Data
There will be no impact on documents held for clients in our storage facilities. We are not making any changes to our IT systems or document retention policies.
